Halen Driver Agreement
Rideshare and package delivery

This Agreement sets out the requirements for independent drivers, the weekly subscription and payment model, safety and delivery responsibilities, and the rights of both you and Halen.
1 Parties and scope
This Driver Agreement is between Halen Technologies Inc., a Delaware corporation (Halen), and the individual accepting it (you or Driver). It governs your access to the Halen driver application and your provision of approved rideshare and package delivery services through Halen. It takes effect when you affirmatively accept it. Acceptance alone does not authorize you to provide services; Halen must first approve your account, vehicle, and service eligibility.
Halen provides a platform for matching service requests, communicating, recording services, and facilitating payments. You provide the transportation or delivery services you accept. This Agreement applies to independent drivers and couriers, not to work performed by a Halen employee under a separate employment agreement. It does not create a franchise or authorize you to represent or bind Halen.
Services are introduced market by market. You may provide only the services and pickups authorized for your account and location. Nationwide expansion does not mean service is currently available everywhere. Food, grocery, retail shopping, travel, and other future offerings are outside the initial rideshare and package delivery scope unless separately enabled with appropriate terms.
2 Eligibility and ongoing approval
You must be at least 25 years old to register to drive on the Halen platform. You must hold a valid license for the vehicle and service you provide, have the legal right to perform the services, and meet applicable driving-history, screening, vehicle, and insurance requirements. A higher age or additional requirement imposed by law or applicable insurance must also be satisfied.
Provide accurate, complete information and keep required documents current. Halen may verify identity, license status, driving history, vehicle eligibility, insurance, and other qualifications before activation and periodically afterward, as permitted by law. Background screening requiring consent will use separate disclosures and authorization. Acceptance of this Agreement does not replace that process or waive your right to receive required notices and dispute inaccurate screening information.
Notify Halen promptly of any change affecting eligibility, including license suspension, loss of vehicle authorization, insurance cancellation or lapse, a material safety defect, or an incident that makes continued service unsafe or unlawful. Do not accept services while ineligible. Halen may restrict service access pending verification or resolution.
3 Your account and vehicle
Use only your approved account and an approved vehicle. Do not rent, lend, transfer, or share your account, or allow another person to drive or complete any part of a service through it. Unauthorized substitute drivers, helpers, and companions are not permitted during a service. Protect account credentials and report suspected unauthorized access immediately.
You must own the vehicle or have lawful permission to use it for the intended commercial activity. Keep registration, inspections, maintenance, and required equipment current. Vehicles must meet Halen’s published requirements for their category and market, including the model-year 2020 or newer requirement and the applicable eight-year age limit. Stricter local or insurance requirements control. The vehicle’s approval period and any removal date will be communicated through onboarding or eligibility notices.
Before driving, check that the vehicle is safe, clean, and suitable for its approved passenger or package capacity. Address safety recalls according to manufacturer instructions. Do not operate an unsafe vehicle, overload it, or obstruct seat belts, exits, visibility, or controls.
4 Independent operation and choice
You decide when and where to make yourself available within authorized service areas and may use other platforms or operate another lawful business. There is no exclusivity requirement or minimum number of requests you must accept. You may decline a request for a lawful reason. Declining work must not involve unlawful discrimination.
Once you accept a service, you must complete it safely or use the applicable cancellation and support process. You choose a safe, lawful route and operating methods consistent with the accepted service. Working through another platform must not interfere with a Halen service you have accepted.
You are responsible for your ordinary operating expenses, including vehicle ownership or rental, maintenance, fuel or charging, phone and data service, and applicable taxes. This Agreement does not promise employee benefits or any particular tax classification. Your actual legal status and nonwaivable rights are determined by applicable law and the actual relationship. Halen does not guarantee requests, income, profits, or a return on subscription payments.
5 Weekly subscription and trial
The Halen platform subscription is $199 per week. Commercial insurance charges and third-party fees are separate. There is no monthly subscription option. Before paid enrollment, Halen will disclose the subscription amount, billing start date, weekly renewal date, insurance charges applicable to you, and how to pause or cancel. No subscription is due merely for joining a waitlist or submitting an application.
A 45-day introductory driver trial is available when Halen launches in your city under the enrollment terms shown to you. Your trial start and end dates and first paid renewal date must be disclosed before enrollment. The trial waives the platform subscription; it does not waive separately disclosed insurance or third-party fees. The trial does not authorize services before account approval and market activation.
After the trial, the subscription renews every seven days under the recurring-payment authorization you provide, until paused or canceled. You may pause or cancel using available account controls or by contacting support before the next renewal. A cancellation received before renewal stops that renewal even if Halen processes the request later. Amounts validly incurred before cancellation remain payable.
Once you complete at least one ride or delivery in a paid subscription week, that week’s subscription is nonrefundable except as required by law. For a paid week in which no service was completed, any applicable refund conditions must be disclosed at enrollment; you may request review by support. Insurance refunds or continuing charges follow the separately disclosed insurance arrangement and applicable law. Pausing the platform subscription does not itself cancel an insurance policy.
Halen may restrict new requests after a failed subscription payment and will provide a way to resolve the balance. Halen will not charge both your payment method and your earnings for the same amount. Any deduction from earnings for a subscription or insurance charge requires a separately disclosed authorization where required by law. Material pricing changes apply prospectively after notice and an opportunity to cancel; they do not change completed-service earnings retroactively.
6 Fares tips and the customer booking fee
You retain 100% of your rideshare fares, package delivery earnings, and tips, minus applicable third-party fees and lawful, itemized adjustments under this Agreement. Halen does not take a per-trip commission from your fare. The weekly subscription and commercial insurance are separate costs and reduce your overall net earnings.
For each completed rideshare trip, the customer pays a $3.95 Halen booking fee in addition to the fare. That booking fee belongs to Halen. Any package delivery service fee must be shown for that service; the applicable fee must be disclosed before acceptance. Halen uses pricing without surge charges. Applicable rates and available earnings information are presented through the platform; you may choose whether to accept a request.
The driver bears third-party payment-processing fees on the total customer transaction, including the fare, Halen booking fee, and any tip, as applicable to the processor’s actual charges. Third-party fees are not a Halen commission. Optional payout or other provider fees must be disclosed before you choose the relevant service.
For a trip consisting only of a $20 fare and a $3.95 booking fee, the customer pays $23.95. If the actual processing fee is F, Halen receives $3.95 and the driver receives $20 minus F. A tip is added to the driver’s amount, with the processing fee recalculated on the actual total. This example does not assume a particular processor rate or include your weekly subscription, insurance, taxes, tolls, or other adjustments.
7 Payment authorization payouts and adjustments
You authorize Halen and its payment providers to collect service payments, allocate the Halen booking fee, deduct applicable processing fees, and route your remaining earnings to your designated payout account. This limited payment authorization does not authorize Halen to bind you to unrelated obligations. Payment to the authorized processor satisfies the customer’s corresponding payment obligation, subject to a valid reversal or refund.
Complete the payment provider’s identity and payout requirements and accept its applicable terms when presented. Payout timing follows the disclosed schedule and may be affected by bank processing, verification, legal holds, or payment disputes. Halen does not guarantee same-day deposits. Keep your payout and tax information current.
Your payment records must identify earnings, tips, Halen fees, third-party fees, and adjustments. Halen may correct errors, duplicate payments, fraudulent transactions, or amounts not earned, and administer justified refunds and chargebacks. Adjustments must be supported, attributed to the relevant transaction, and lawful. Halen will not charge you for its own discretionary customer credit or its own error solely because you provided the underlying trip.
If an amount is disputed, Halen will explain the basis and provide an opportunity to submit relevant evidence, subject to legal and fraud-prevention restrictions. Any temporary hold should be limited to amounts reasonably connected to the issue and reviewed without unreasonable delay. Undisputed funds remain payable. Contact support promptly about errors; this request does not shorten any statutory claim period or waive payment rights.
You are responsible for taxes legally owed on your earnings. Halen or its providers may collect tax information, issue required reports, and withhold amounts required by law. Authorized tolls or similar pass-through charges will be handled under the disclosed service pricing. Parking tickets and violations caused by your conduct remain your responsibility.
8 Insurance and authorization to operate
Halen is arranging commercial insurance for launch. No transportation or delivery service may begin in a market until the required insurance and operating authorizations are in place. This Agreement is not an insurance policy, certificate, or confirmation that coverage is currently bound.
Before activation, you must maintain the personal auto insurance and other coverage required for your approved operations and provide requested proof. Your name and vehicle must be properly covered. Tell your insurer about the intended rideshare and delivery use. Personal insurance may exclude that activity; approval by Halen does not amend your personal policy.
Commercial insurance costs are payable separately from the $199 subscription. The applicable charge, payment arrangement, coverage information, limits, exclusions, deductibles, and claims instructions must be provided before you begin covered services. You are not required by this Agreement to pay an undisclosed insurance charge or deductible.
Insurance treatment may differ while you are offline, online awaiting a request, traveling to pickup after acceptance, or transporting a passenger or package. Actual coverage is controlled by the issued policies and applicable law. Do not assume that rideshare coverage includes package loss, vehicle damage, personal injury to the driver, or off-platform work. A declared package value does not create cargo insurance.
Do not provide a service outside its authorized market, vehicle, or coverage scope. A permitted out-of-area drop-off does not authorize a pickup there. Airports, stations, and other controlled locations may require separate authorization and designated pickup procedures.
9 Safe driving and passenger service
Drive lawfully, attentively, and without impairment or unsafe fatigue. Follow applicable driving-hour and rest requirements, use lawful hands-free operation, and stop in a safe place before handling tasks that require attention. Do not drive while affected by alcohol, drugs, medication, illness, or another condition that makes driving unsafe.
Confirm the passenger and destination through the application before starting the trip. Begin and end the trip at the actual pickup and completion points. Use seat belts, observe passenger capacity, and require legally mandated child restraints. Do not transport an unaccompanied minor under 18 through the initial Halen service.
Do not solicit cash or a separate off-platform payment for a Halen-booked fare, pressure a customer to tip, or cancel a booking to move it outside Halen. Independently obtained work remains permitted, but it is not a Halen service and must not be misrepresented as insured or supported by Halen.
If a trip must end early for safety or another lawful reason, stop at a safe location, explain the situation when safe, and contact support. Do not abandon a passenger in a dangerous location. If there is an emergency, call 911 first.
10 Fair treatment and accessibility
Discrimination, threats, violence, harassment, stalking, sexual misconduct, and retaliation for a good-faith complaint are prohibited. Treat passengers, senders, recipients, other drivers, and support personnel respectfully.
Accommodate service animals and disabilities as required by law. Do not require a service-animal certificate or registration, charge a disability-related surcharge, or refuse a qualifying service animal because of an ordinary pet restriction. Make legally required reasonable accommodations, including safe carriage of mobility aids that the vehicle can accommodate. Contact support when assistance is needed; lawful accessibility obligations remain in effect.
11 Package delivery eligibility
Package delivery covers lawful, securely packaged everyday goods and documents sent by an individual or business to an identified recipient at a residential or business address. Provide only deliveries enabled for your account. Food and grocery delivery are outside the initial service. Do not purchase items for a sender or advance money unless Halen separately authorizes such a service with its own terms.
Do not accept illegal or stolen goods; weapons, ammunition, explosives, or fireworks; hazardous, toxic, flammable, or infectious materials; controlled substances; alcohol, tobacco, or vaping products; prescription medicines; cash or negotiable financial instruments; live animals; human remains or biological specimens; or items requiring regulated, medical, temperature-controlled, or specialist handling. Do not accept irreplaceable items.
Review the description and any requested declared value before pickup. The package must fit safely in your approved vehicle and be suitable for ordinary transport without blocking visibility or controls. Follow any size, weight, or value restrictions disclosed for the service. This Agreement does not establish a numerical limit or promise of reimbursement.
Refuse a package if its contents, condition, packaging, or handling requirements reasonably appear unsafe, prohibited, misdescribed, or beyond the approved service. Contact support about discrepancies. Do not break a seal or search contents without lawful authority or the sender’s permission. No inspection is required if it would create danger.
12 Package custody and delivery confirmation
Confirm the sender, package count, visible condition, destination, and delivery instructions at pickup. Record pickup and completion accurately through the platform. Keep packages secure, separate where necessary, and protected from damage, theft, weather, and unauthorized access. Do not open, use, consume, substitute, or retain contents.
Deliver only to the authorized recipient or a location specifically authorized for unattended delivery. Record the required confirmation, such as a photograph or recipient acknowledgment, through the approved process. Never mark delivery complete before the actual handover or authorized drop-off. Avoid unnecessary photographs of people or private interiors.
If the recipient is unavailable, the address is incorrect, or delivery is unsafe, contact the sender and support for instructions. Do not abandon, discard, sell, or keep the package. Follow an authorized return or other safe resolution. Any extra compensation or customer charge for a return must follow the disclosed terms or a separately approved arrangement.
Report loss, damage, suspected theft, leakage, or a dangerous item promptly. Preserve relevant records and packaging where safe and cooperate reasonably with investigation. An allegation alone does not establish your liability. Responsibility for loss or damage depends on the evidence, your conduct, this Agreement, and applicable law.
13 Availability and trip records
Use the application to record online availability, acceptance, arrival, pickup, cancellation, and completion accurately. Keep the device and necessary location permissions functioning while available or performing a service. Do not spoof location, alter timestamps, report false mileage, or record a passenger or package service that did not occur.
For operational and insurance reporting, relevant records distinguish availability before acceptance, travel to pickup after acceptance, and transport from pickup through completion. Delivery records must be identified as delivery records; their insurance treatment is not assumed to be identical to passenger TNC periods.
Do not log out to bypass completion or cancellation of an accepted service. If the application fails or connectivity is lost, prioritize safety, contact support when possible, and provide an accurate account of events so the record can be corrected. Do not fabricate a replacement record.
14 Accidents and safety reporting
For an accident or immediate danger, obtain emergency help, follow lawful duties at the scene, and exchange required information. Notify Halen and the applicable insurer promptly using the claim instructions. Provide accurate information and reasonably preserve photographs, trip details, and other evidence when safe and lawful.
Cooperate with legitimate claims and safety investigations. Do not conceal an incident, falsify evidence, or obstruct another person’s legal rights. Nothing requires you to admit liability, waive counsel, disclose privileged information, or provide a statement contrary to law. Stop providing services if the vehicle or your condition is unsafe.
15 Privacy and confidential information
Halen handles your information as described in its Privacy Policy at Halen Privacy Policy. Relevant account, eligibility, location, trip, delivery, and payment records may be used for service operation, safety, support, insurance, and legal compliance.
Use passenger, sender, recipient, and other user information only for the accepted service, an authorized support matter, or a lawful purpose such as preserving evidence of a claim. Do not use it for personal contact, marketing, stalking, public posting, or unrelated disclosure. Retain only what is reasonably needed and lawful; protect it against unauthorized access.
If you use a dashcam or other recording device, comply with applicable recording, consent, and notice laws. Do not livestream or publicly post identifiable passengers, recipients, conversations, or delivery details without appropriate permission. Separate disclosures and consent are required for background screening, biometric processing, and optional communications where applicable; this Agreement is not a substitute.
16 Suspension deactivation and review
Halen may restrict or end access for loss of eligibility or insurance, unsafe conduct, serious or repeated breaches, fraud, unauthorized account use, nonpayment, or a legal requirement. Halen may impose an immediate temporary restriction when reasonably needed to protect safety, prevent fraud, or comply with law. A low rating or complaint should be assessed in context and does not by itself prove misconduct.
Halen will provide the reason for a restriction or deactivation and the available review process unless disclosure is prohibited by law or would materially compromise safety or an investigation. You may request review by emailing support@halentech.com with the account details and relevant evidence. Halen will review the information without unreasonable delay and communicate its decision. Applicable local notice, appeal, hearing, and reinstatement rights control.
Deactivation does not forfeit earned, undisputed payments. Halen will stop future subscription renewals when it permanently deactivates your account. During a temporary restriction, subscription treatment must be communicated; charges for a period when Halen prevents all service access may be disputed and remain subject to applicable law. Halen will not retaliate for exercising a legal right or raising a good-faith payment or safety concern.
17 Ending the agreement
You may end this Agreement by closing your driver account or notifying support. Pausing a subscription is not the same as closing the account. Complete or safely resolve accepted services and return packages or property in your custody before disengaging. Halen may end the Agreement under Section 16 or discontinue a service with legally required notice.
After termination, stop using Halen’s driver credentials and branding. Lawfully accrued payment obligations remain due, and earned amounts remain payable subject to justified adjustments. Privacy, payment reconciliation, lawful record retention, liability, and dispute provisions survive to the extent necessary to address events during the Agreement. Neither party may use termination to avoid rights or obligations already accrued.
18 Platform license and local operators
Halen grants you a limited, nonexclusive, nontransferable right to use the driver platform for approved services while your account is authorized. Halen and its licensors retain ownership of the platform and branding. Do not scrape, resell, interfere with, or misuse the platform, or claim ownership of Halen intellectual property. Any branding permission ends when authorization ends.
An authorized Halen franchise or local operator may assist with onboarding, support, and service operations in your market. That does not change the contracting party or add a charge unless a separate lawful agreement clearly identifies the arrangement and you accept it. Halen remains responsible for its obligations under this Agreement.
19 Responsibility and liability
Each party is responsible for its own negligence, unlawful conduct, and breach of this Agreement to the extent provided by law. You will indemnify Halen against a third-party claim to the extent caused by your negligent or wrongful conduct or material breach while providing services. This does not require you to pay for Halen’s own negligence, misconduct, or legal violations. Halen must give reasonably prompt notice and a fair opportunity to participate in the defense; no settlement may impose an admission or nonmonetary obligation on you without your consent.
The platform may experience interruptions, errors, or unavailable requests. Except for express commitments in this Agreement and nonwaivable legal requirements, Halen does not warrant uninterrupted availability or a particular financial result. To the extent permitted by law, neither party is liable to the other for indirect or consequential commercial losses, such as speculative lost profits.
No limitation in this Agreement excludes responsibility for fraud, willful misconduct, liability that cannot lawfully be excluded, or amounts properly owed to the driver. It does not waive insurance benefits, statutory compensation, consumer or worker protections, or claims for bodily injury or death where a waiver would be unlawful. Insurance coverage is governed by the policy, not by these liability provisions.
20 Disputes and governing law
If a dispute arises, contact legal@halentech.com with a description and the requested resolution. Both parties should attempt a good-faith resolution, but neither must delay a filing needed to preserve a deadline or seek urgent relief. You may report concerns to regulators or exercise protected rights without obtaining Halen’s permission.
Delaware law governs this Agreement to the extent it does not displace mandatory protections of the place where you reside or provide services. Courts with jurisdiction in Delaware may hear disputes, subject to mandatory venue rules and any right to bring a claim in another legally required forum. Small-claims and administrative remedies remain available where applicable.
This Agreement does not impose mandatory arbitration or a class-action waiver for driver disputes. The arbitration or class-action provisions in general website or customer terms do not override this section for matters governed by this Driver Agreement. Any future mutual arbitration agreement must be separately presented and affirmatively accepted and must preserve nonwaivable rights.
21 Changes and interpretation
This Agreement governs the driver relationship and controls over conflicting general website or customer terms on that subject. The Privacy Policy explains data handling. Mandatory local law and any applicable, accepted market addendum control to the extent of a conflict. Halen will provide any additional terms required before activating a new market or service.
Halen will give reasonable advance notice of material changes, ordinarily at least 30 days, and obtain renewed acceptance when required. An earlier change may be necessary for law, safety, or security; Halen will explain the change as appropriate. Pricing changes will not be applied retroactively. You may stop using the service and cancel future renewals if you do not accept an update.
If a provision is unenforceable, the remaining provisions continue to the extent they can operate lawfully. Failure to enforce a provision once is not a permanent waiver. This Agreement and any expressly accepted applicable addenda constitute the agreement on this driver relationship; no oral statement guarantees earnings, insurance, or employment.
22 Electronic acceptance and contact
By selecting the dedicated I agree or I accept button associated with this Agreement, you confirm that you are at least 25, have had access to the complete Agreement, and agree to its terms. Your electronic acceptance is intended to have the same effect as a signature to the extent permitted by law. Keep or download a copy for your records. Recurring payment, screening, and other separately required authorizations must be obtained in their appropriate flows.
